二、英文合約內容解說 ( 一 ) 英文合約的種類 Agreement （協議書） Contract （合約） Letter of Intent （意向書） Waiver （棄權聲明） Guaranty （保證書） Power of Attorney （委任書）

( 二 ) 英文合約的結構 1. 標題： Joint Venture Agreement 、 Service Contract 、 Waiver 、 Power of Attorney 2. 序文： PREAMBLE （前言）、 RECITALS （背景） 3. 主文： (1) 名詞定義 (2) 一般條款：保密條款、禁止競業條款、不可抗力 條款、準據法及管轄法院條款、違約處罰條款等。 (3) 特殊條款：限制轉讓條款、經營控制權之約定條 款等。 4. 結尾：通常「 IN WITNESS OF…… 」 起頭

1. 標題 如： Share Purchase Agreement Joint Venture Agreement Loan Agreement Distribution Agreement License Agreement

2. 序文 前言： PREAMBLE 序明合約雙方當事人之姓名或名稱、住址 或主營業所、 簽約日期等識別性質之文 字。 背景： RECITALS 序明雙方有意之背景原因。由許多以 「 WHEREAS 」 開頭的句子組成，末句通 常以「 NOW, THEREFORE…… 」 起頭， 表明雙方因此簽署本

3. 主文 包含「名詞定義」、「一般條款」、「特殊條款」。 1. 名詞定義 本合約中重要的名詞術語定易於此一節中。 2. 一般條款 是指各種類合約裡都可能出現之條款，這類條款 具有共同之性質，如：保密條款、禁止競業條款、 不可抗力條款、管轄法院及準據法條款、違約處 罰條款等。 3. 特殊條款 則係根據各合約之種類及性質才會出現之特別條 款，具有特殊性，如合約不同，條款內容也不相 同，如：合資契約內對公司經營控制權之分配與 約定等，這類條款不會出現於一般買賣契約中。

4. 結尾 通常以 「 IN WITNESS OF…… 」 起頭 「 IN WITNESS OF whereof this Agreement has been signed and delivered as a deed as of ______(date)_______(month),____(year) by the duly authorized representatives of the Parties 」 「 IN WITNESS OF, this AGREEMENT has been signed and delivered as of the day and year first above written by their duly authorized representatives of the BUYER and the SELLER 」

( 三 ) 特殊的法律英文用語 1. here ＋介系詞」、「 there ＋介系詞」 (1) here + 介系詞： hereby 、 hereto 、 hereunder 、 hereof 、 herein (2) there + 介系詞： thereof 、 thereto 2. 制式短語： (1) subject to 、 notwithstanding 、 without prejudice to (2) to the extent (3) the same (4) to that/the/such effect (5) in/at one’s discretion (6) as of (7) inter alia (8) in witness of (9) inclued without limitation

In case of any discrepancy between the English version and any translation thereof, the English text shall govern. 本合約以英文訂定，如合約之英文本與其翻譯本於解釋 上發生歧異時，以英文本內容為準。

三、合約中容易潛藏風險的條款 ( 一 ) 保密條款：保密資料、保密義務人、保密時 限 ( 二 ) 禁止競業條款：禁止競業之範圍 ( 三 ) 不可抗力條款：責任及後續問題 ( 四 ) 違約處罰條款：範圍、時限 ( 五 ) 瑕疵擔保條款：規格、數量、品質、所有權 ( 六 ) 智慧財產權保護條款： ( 七 ) 準據法及管轄法院條款： ( 八 ) 其他重要權利義務條款：

（一）保密條款 – Confidentiality Clause 1. 不同類型之契約，其保密條款規定之內容也 有差異。 2. 保密條款內容有時會和禁止競業相關連。 保密資料：需要保密的資料，其定義及範圍如 何？ 保密義務人：需要保守秘密的人有哪些？其範 圍如何界定？ 保密時限：需要保守機密的時限為何？

保密範圍舉例 – 應保密之資料 （買賣、代工契約） Confidential Information means collectively and individually any and all: (1)information, technical and commercial data or know- how of whatsoever nature whether in oral, written, electronic or in any other form relating to the Buyer (2)its Business, Technology, Products, Customers and/or Suppliers and disclosed by the Buyer to the Manufacturer hereunder together with all records or copies thereof or extracts therefrom in whatever media held.

應保密資料之例外 1.Consented by the Buyer in writing 2.Public Domain or generally available to the Public 3.From a third party which has a legal right to disclose or has no such legal obligation as to keep confidentiality 4.Information was in possession or knwon by Supplier prior to receipt from Buyer

保密範圍舉例：保密義務之人 Any Person or Persons (natural or corporate) involved in this agreement, including: Manufacturer and Its Employee Sub-Contractors Any Third Parties related to this agreement

（二）禁止競業條款 – Non-Competition Clause 禁止競業之範圍 : 1. 內容限制：不得經營或從事相同或類似工作 或事業、不得競爭、不得為競爭對手工作等。 2. 時間限制：合約結束後若干年、無限期。 3. 地理限制：某一區域、某一國等。

（三）不可抗力條款 ─ 不可歸責、不可抗力 Force Majeure Clause 民法第 225 條（給付不能） 因不可歸責於債務人之事由，致給付不能者，債務人免給付義務。 民法第 230 條 （不可歸責） 因不可歸責於債務人之事由，致未為給付者，債務人不負遲延責任。 民法第 266 條（不可抗力） 因不可歸責於雙方當事人之事由，致一方之給付全部不能者，他方免 為對待給付之義務，如僅一部不能者，應按其比例減少對待給付。 民法第 227 條之 2 （情事變更） 契約成立後，情事變更，非當時所得預料，而依其原有效果顯失公平 者，當事人得聲請法院增、減其給付或變更其他原有之效果。

（三）不可抗力條款（續） 責任及後續問題 1. 因不可抗力事由致一方給付不能者，免給付之義務。 2. 雙方均免給付義務，亦無損害賠償之義務。 3. 不可抗力事由發生時，應如何處理善後，宜先講好， 免生爭議。

（四）違約處罰條款 1. 範圍： (1) 哪些事件屬於違約行為？ (2) 哪些違約行為需要補（陪）償？ (3) 賠償的範圍如何界定？ (4) 賠償金額應設定上限 2. 時限 違約損害賠償請求之時限

（五）瑕疵擔保條款 1. 權利的瑕疵擔保 2. 實體的瑕疵擔保 規格、數量、品質、維修、保固 驗收標準

（六）智慧財產權保護條款 1. 注意合約中有關智慧財產權的規定，避免落 入陷阱。 2. 如何避免不當侵害他人之智慧財產權？
